To set up a private limited company you may have a minimum of one director – but the company must have a separate secretary. (Section 129 (4) states “who has the skills or resources necessary to discharge his or her statutory and other duties”). The company can have from one to one hundred and forty nine shareholders.
For each proposed director we will need their name, home address, date of birth, nationality (if not Irish), occupation and list of other company directorships (if any). Additionally we will need identification and address verification to comply with the Criminal Justice (Money Laundering and Terrorist Financing) Act, 2010.
For each shareholder and/or beneficial owner we need to know their name, residential address, nationality, date of birth and occupation in addition to the number of shares which they are to be given. We need to know the nature of the activity to be carried on by the company, the trading address of the company and the registered office address (this is the address to which all Companies Registration Office documentation will be sent).
